1.4 If you are setting up or running a club on PLAI, the Seller Terms also apply to you. Where the Seller

Terms win.

4.1 Adults. If you are 18 or over you can hold your own account.
4.2 Young people aged 13 to 17. You can hold your own account. Some features are switched off for
your protection. Clause 5 explains which.
4.3 Children under 13. You cannot hold your own account. A parent can add you to their account as a
Managed Profile and they will manage everything for you.
4.4 We ask for a date of birth when an account is created. You must give your real date of birth. We use
it to apply the protections in clause 5. If we discover an account was created with a false date of birth,
we may suspend or close it.
4.5 You must give a valid email address that belongs to you and verify it. You must keep your details
accurate.
4.6 You can belong to more than one club at the same time.
4.7 We are not obliged to verify anything you tell us, but we may ask you for proof of identity or other
documents and may suspend your account if you do not provide them.Children and young people
This clause applies to everyone. It explains how we protect children on PLAI and what parents and clubs
must do.Managed Profiles
5.1 A parent may add a child of any age to their own account as a Managed Profile. The parent controls
everything for that child: availability, payments, messages and information.
5.2 By adding a child, the parent confirms they have parental responsibility for that child and agree to
these terms on the child's behalf.
5.3 A Managed Profile is not an account. A child on a Managed Profile cannot log in, cannot message
anyone and cannot be messaged.
5.4 If an adult tries to message a child who has a Managed Profile, the message goes to the child's
parent instead. It never reaches the child directly.Accounts held by young people aged 13 to 17
5.5 A young person aged 13 to 17 may create their own account. If they do, any Managed Profile a
parent held for them ends and the parent no longer controls it.
5.6 For every account held by someone under 18:a. Private messaging is switched off. They cannot start a private conversation and no one can start
one with them. The message button does not appear.
b. They cannot be added to group chats. Not by a Club Admin, not by anyone.
c. No advertising is shown. None at all.
d. They can read club articles and announcements, comment on and react to them, respond to
availability requests for fixtures and events and see their own club information.5.7 Comments and reactions on club articles are visible to everyone in that club, including adults. They
are not private. Anyone posting a comment should treat it as public within their club.
5.8 These restrictions lift automatically on the user's 18th birthday.Obligations on clubs and adults
5.9 Clubs must apply their own safeguarding policy and their governing body's safeguarding
requirements to everything they do on PLAI. Being on PLAI does not replace those obligations.
5.10 Clubs are responsible for deciding who they make a Club Admin or Group Admin and for carrying
out whatever checks their sport, their governing body or the law requires before doing so.
5.11 Adults must not attempt to contact a child privately through PLAI, attempt to move a conversation
with a child to another platform, or use public comments to build a private relationship with a child.
5.12 No one may use PLAI to groom, sexually exploit, harass, bully or endanger a child. We report
conduct of this kind to the police or the National Crime Agency and we do so without notifying the person
concerned.
Oversight and transparency
5.13 Club Admins can read every group chat in their club. This is a safeguarding measure. We tell you
about it here so that no one is surprised by it.
5.14 Club Admins cannot read private messages between two other adult members.
5.15 Authorised PLAI staff may access accounts and content where it is necessary to provide support,
investigate a fault, or investigate a safety report. Access is limited to what is needed, is restricted to
named staff and is logged. We do not access accounts held by under-18s except where it is necessary
to investigate a safety concern.Reporting harm
6.1 Every chat and every piece of content on PLAI has a report function. Use it if you see something that
worries you.
6.2 When you report something, we are notified straight away. We will assess it and, depending on what
we find, we may notify the club that we are investigating, remove the content, suspend or close the
account involved and report the matter to the police or another authority.
6.3 In urgent cases involving a child at risk of immediate harm, contact the police on 999 first, then report
it to us.
6.4 Nothing in these terms and nothing in any confidentiality obligation you owe to anyone, prevents you
from reporting a concern about the safety or welfare of a child to the police, the NSPCC, a governing
body, a designated safeguarding officer, or any other appropriate authority. You do not need our
permission and you do not need to tell us first.
6.5 If you are unhappy with how we handled your report, you can ask us to review it by emailing
support@plaisport.com. A senior executive will respond within 14 days.
Your account
7.1 Keep your password confidential. Do not let anyone else use your account.
7.2 Tell us immediately if you think someone else has accessed your account. We may disable it while
we investigate.
7.3 You are responsible for what happens on your account. If someone else uses it without your
permission, you will not be responsible for what they do provided you took reasonable care with your
password and told us promptly once you knew or should have known.
7.4 A parent is responsible for everything done through a Managed Profile they control.How you may and may not use PLAI
8.1 You may use PLAI to run, join and take part in sports clubs and their activities and for no other
purpose.
8.2 You must not:
a. break the law, or help anyone else to;
b. harm, harass, bully, threaten, stalk or intimidate anyone;
c. do anything that puts a child at risk, or anything covered by clauses 5.11 and 5.12;
d. post content that is abusive, obscene, discriminatory, defamatory, misleading or hateful;
e. post content that is sexual, or that sexualises anyone;
f. impersonate anyone;
g. post content you do not have the right to post, or that infringes someone else's rights;
h. send spam, bulk unsolicited messages or chain messages;
i. try to find out information about another user beyond what PLAI shows you;
j. copy, modify, reverse engineer, scrape or extract any part of the platform;
k. attack, overload, interfere with or attempt to gain unauthorised access to the platform;
l. upload viruses or harmful code;
m. use PLAI commercially except to run your club;
n. resell or sublicense access to PLAI.
8.3 We may use automated filtering. It may stop messages being sent or received. We are not liable if it
does.
8.4 We may set limits on storage, message sizes, message volumes and usage and change them.
Where a change would materially affect you, we will give notice under clause 22.Clubs, content and moderation
9.1 Anyone setting up a club on PLAI confirms that they are authorised to do so by the club and that the
contact details they upload for members are accurate and that they are entitled to use them to
communicate with those members.
9.2 Members either accept an invitation to join a club, or request to join and are either approved by an
admin or auto-approved depending on the club configuration on PLAI as activated by the authorised
representative of the club.
9.3 You are responsible for the content you post. We do not endorse it.
9.4 We are not a publisher of your content, but we do moderate. We may remove content and we may
suspend or close accounts, where content breaches these terms or the law. We do this at our discretion
and we are not obliged to find every breach.
9.5 We comply with our duties under the Online Safety Act 2023 and equivalent laws in other countries
where PLAI operates. Nothing in these terms limits those duties or transfers them to you.
9.6 You may be exposed to content you find objectionable. If you are, report it.Money: how payments work
10.1 The club sells, not us. When you buy something on PLAI, the seller is the club. We provide the
technology. We do not own, supply, deliver or warrant anything a club sells.
10.2 Stripe processes the payment. Stripe handles the card payment and holds the card details. We
never see or store your full card number. Stripe is responsible for PCI DSS compliance. Your payment is
also governed by Stripe's own terms.
10.3 We are not a bank. PLAI Ltd is not a bank, a payment institution, an e-money institution or a
payment service provider. We do not hold your money on deposit. We do not give financial advice.
10.4 One price. The buyer is shown a single Purchase Price, everywhere in the app and at every stage,
including the basket and the checkout. There is no separate fee added at the end. The Service Fee is
built into the Purchase Price and is not shown to the buyer as a separate line.
10.5 The Service Fee applies to paid items with a Listing Price of £2.00 or more, or the local equivalent.
It does not apply to free items.
10.6 The Service Fee is shared between us and Stripe. Our share and Stripe's share vary by country.
Our current rates are published at https://www.plaisport.com/pricing and form part of these terms. At time
of writing there is no intent to raise pricing. We will give a minimum of 30 days' notice before increasing
them should there ever be a need to do so.
10.7 From each sale, the club receives the Listing Price less our percentage and Stripe's percentage.
The club's exact rates are shown in its PLAI dashboard.
10.8 Clubs are paid on Stripe's standard payout schedule. Clubs can adjust their payout settings in their
Stripe dashboard. We do not control when Stripe releases funds.
10.9 We support payments in the following currencies: AED, AUD, BGN, BRL, CAD, CHF, CZK, DKK,
EUR, GBP, HKD, HUF, INR, JPY, MXN, MYR, NOK, NZD, PLN, RON, SEK, SGD, THB, USD. Currency
conversion, where it applies, is carried out by Stripe or your card issuer at their rate.
10.10 Prices shown include any applicable VAT or sales tax. Clubs are responsible for determining
whether tax applies to what they sell, for charging it correctly and for accounting for it. We are
responsible for tax on our own fees.
10.11 We may refuse, delay or suspend a transaction, or instruct Stripe to, where we reasonably
suspect fraud, money laundering, illegality or a breach of these terms. We are not liable for loss caused
by doing so.Refunds, disputes and chargebacks
11.1 Refunds are the club's responsibility. If you want a refund, ask the club. Each club sets its own
refund policy and must make it available to its members. The club must comply with consumer law
where it applies.
11.2 You get back what you paid. Where a club refunds a purchase in full, the buyer receives the full
Purchase Price they paid, not the Listing Price. The club is responsible for making up the difference. The
Service Fee is not returned to the club.
11.3 Where we are at fault, we will put it right and as a minimum, refund our own fee.
11.4 If you have a problem with a purchase, use the dispute function in the app. We will try to help the
club and the buyer reach a resolution. We do so as a facilitator only. We do not decide who is right, our
view is not binding on either party and using this function does not affect your legal rights.
11.5 Chargebacks. If a buyer disputes a payment with their bank or card issuer and the dispute
succeeds, the money is taken back through Stripe, along with any fee the bank or Stripe charges.
11.6 As between us and the club, the club bears the cost of every chargeback on its sales. Where the
amount is taken from us, the club must reimburse us and we may recover it by deducting it from the
club's future payouts, by holding back funds, or by invoicing the club directly. This applies however the
chargeback arises, including where it results from fraud by a member of the club.
11.7 We may hold back or reserve funds where a club has an unusual level of disputes, where we
reasonably suspect fraud, or where a club's account is being closed and liabilities may still arise.
11.8 Nothing in this clause affects your statutory rights, including your right to raise a chargeback
with your bank or to bring a claim under section 75 of the Consumer Credit Act 1974 where it applies.What clubs sell
12.1 Clubs may use PLAI to collect subscriptions, match fees and event payments and to sell kit and
merchandise through a club shop.
12.2 Where a club sells physical goods, the club is the seller. The club is responsible for stock, pricing,
description, fulfilment, delivery, returns and for complying with consumer law, including the Consumer
Contracts (Information, Cancellation and Additional Charges) Regulations 2013 where they apply. We
provide inventory and order tracking tools. We do not hold, pack or ship anything.
12.3 Tours and travel. A club may collect payment for a tour or trip through PLAI. We are not a travel
organiser, travel agent or retailer. We do not arrange, book, sell or resell flights, accommodation,
transport or any other travel service and we do not combine them. A club that organises a trip combining
travel and accommodation may itself be subject to the Package Travel and Linked Travel Arrangements
Regulations 2018 or equivalent law in its country, including obligations to hold insolvency protection.
That is the club's responsibility to assess and comply with. We accept no liability of any kind in
connection with a trip.
12.4 Clubs must not use PLAI to sell anything illegal, age-restricted, or listed within the PLAI Seller
Terms.Optional paid upgrades
13.1 Clubs may buy optional upgrades, including the option to remove advertising from their club page
or to control the advertising space themselves. Upgrades are billed monthly or annually at the price
stated within the PLAI mobile application and web platforms.
13.2 These are the only recurring charges on PLAI. Using PLAI to run a club and take payments does
not require a subscription.
13.3 A club can cancel an upgrade at any time from its dashboard. Cancellation takes effect at the end
of the period already paid for. We do not refund part-periods unless we are at fault or the law requires it.
13.4 We will remind clubs before an annual upgrade renews.
13.5 We will give 30 days' notice before increasing the price of an upgrade. If you do not accept the
increase, you may cancel before it takes effect.Advertising
14.1 We show advertising on PLAI. This is how we keep the platform free to use.
14.2 We never show advertising to anyone under 18.
14.3 We do not accept advertising for alcohol, tobacco, vapes, gambling, betting or other products we
consider unsuitable for a platform used by families.
14.4 We select which advert to show based on the country a user is in and the sports of the clubs they
belong to. We do not build advertising profiles based on individual behaviour and we do not sell your
personal information to advertisers. Our Privacy Policy explains this in full, including how to object.
14.5 We are not responsible for what advertisers say or sell. Your dealings with an advertiser are
between you and them.Content and intellectual property
Our content
15.1 PLAI, its software, design, databases, name, logo and everything else we have created belongs to
us or our licensors.
15.2 We give you a limited, personal, non-exclusive, non-transferable, revocable licence to use PLAI for
the purposes set out in these terms, for as long as your account lasts. You get nothing else. You may
not copy, sell, lease, sublicense, modify or reverse engineer any part of it.Your content
15.3 Your content stays yours. We do not claim ownership of anything you or your club uploads.
15.4 You give us a licence to host, store, copy, transmit and display your content and to make technical
changes to it so that it works on different devices. This licence exists only so that we can run the
platform. It lasts as long as your content is on PLAI and ends when you delete it, subject to clause 15.5.
15.5 After you delete content, it may remain in our backups for up to 90 days and we may retain it for
longer where we need it for a legal claim, a safety investigation or a legal obligation.
15.6 Marketing. We only use a club's photographs, logo, match reports or other content in our own
marketing with that club's prior consent. A club can withdraw that consent at any time by contacting us
and we will stop using the content in new marketing.
15.7 You confirm you have the right to post everything you post, including the right to post photographs
of other people. If a photograph shows a child, you confirm you have the parent's permission.Feedback
15.8 If you send us feedback, suggestions, ideas or feature requests, we may use them for any purpose,
without restriction, without payment to you and without acknowledging you. You are not obliged to send
us feedback.Confidentiality
16.1 Treat other members' personal information as confidential. Do not share it, publish it or use it for
anything other than club business.
16.2 This obligation does not apply to information that is already public through no fault of yours,
information you are legally required to disclose, or any report made under clause 6.4.
16.3 This obligation continues after your account ends.Personal information
17.1 Our Privacy Policy explains what personal information we collect, why, how long we keep it and
who we share it with.
17.2 Who is responsible for what. For most information about club members, the club decides what
is collected and why and is the data controller. We process that information on the club's
instructions, as its processor. For information we decide about ourselves, including account
credentials, how the platform is used, security records, advertising selection and our own financial
records, we are the controller.
17.3 Where we act as a club's processor, the terms defined by the IPO and relevant global data &
privacy standards apply and form part of these terms. They contain everything required by Article 28 of
the UK GDPR. Clubs should read them.
17.4 Clubs' obligations. A club is responsible for having a lawful basis for the information it collects, for
telling its members what it does with their information, for responding to requests from its members
about their information, for keeping the information accurate and for complying with data protection law
generally. We will help, but we cannot do this for you.
17.5 Where your information is held. Our infrastructure is hosted on Amazon Web Services in
Singapore. Our development partner, Fluid Labs, works from the United Kingdom and India and can
access live data when building and maintaining the platform. This means personal information is
transferred outside the United Kingdom and the European Economic Area. We use the UK International
Data Transfer Agreement or Addendum and EU Standard Contractual Clauses, as the legal basis for
these transfers and we carry out transfer risk assessments. Details are in our Privacy Policy.
17.6 How long we keep things. Financial and transaction records are kept for seven years after the
transaction, because tax and company law require it. Private messages and group chats are kept for
three years after they are sent, then deleted, unless they are subject to a safety investigation or a legal
hold, in which case we keep them until it ends. Other information is kept for as long as your account is
open and deleted when you close it, subject to the retention periods above and to anything we must
keep by law.
17.7 Breaches. If there is a personal data breach, we will notify the Information Commissioner's Office
within 72 hours where the law requires it, notify Singapore's Personal Data Protection Commission within
three calendar days where the law requires it, notify affected clubs without undue delay and help clubs
meet their own notification duties.The platform: availability and support
18.1 PLAI is provided as it is. We do not promise it will be available, uninterrupted, error free or secure
and we do not offer a service level guarantee.
18.2 We provide support on a best efforts basis. We do not guarantee a response time but will seek to
reply to all communications within 24 hours in normal periods and within 48 hours within elevated
periods of traffic.
18.3 We may change, add to, remove or discontinue features. Where a change would materially reduce
what you get, we will give notice under clause 22.
18.4 Different devices, browsers and networks behave differently. We do not guarantee PLAI will work
on every device.
18.5 We are not responsible for the performance of your device or your internet connection.Suspending and closing accounts
19.1 We may suspend or close your account, or a club's account, immediately and without notice if:
a. you breach these terms;
b. we reasonably suspect fraud, illegality or misuse of the payment system;
c. there is a safeguarding concern;
d. we are required to by law or by a regulator;
e. your account has been inactive for more than 24 months.
19.2 Where it is appropriate and safe to do so, we will tell you why and give you a chance to put it right.
We will not do so where telling you would prejudice an investigation, put a child at risk, or breach the
law.
19.3 We are not liable for any loss you suffer because we suspended or closed an account under this
clause, provided we acted reasonably.
19.4 You can close your account at any time from your settings. Closing your account does not cancel
money you already owe and does not stop us pursuing a claim that arose before you closed it.
19.5 A club can close its club account at any time, subject to settling outstanding liabilities including
chargebacks under clause 11.6.
Leaving PLAI and taking your data
20.1 A club may export its data at any time while its account is open, in spreadsheet format. This
includes member records and payment history.
20.2 Where a club closes its account, it may request an export within 30 days of closure. We will provide
it within a reasonable time.
20.3 When a club closes its account, the club is deleted and its members are disconnected from it.
Members keep their own accounts and can join another club without re-registering.
20.4 After the 30-day export window, we delete club data, subject to the retention periods in clause 17.6.
20.5 Individual members can request a copy of their own personal information at any time, under clause
17 and our Privacy Policy.
Our responsibility to you
Read this clause carefully. It limits what we owe you if something goes wrong.
What we never exclude
21.1 Nothing in these terms limits or excludes our liability for:
a. death or personal injury caused by our negligence;
b. fraud or fraudulent misrepresentation;
c. breach of the terms implied by section 12 of the Sale of Goods Act 1979 or sections 2 and 17 of the
Consumer Rights Act 2015;
d. anything else that cannot be limited or excluded by law.
21.2 If you are a consumer, you have legal rights that these terms cannot take away. Nothing here
affects them.What we are not responsible for
21.3 We are not responsible for:
a. anything a club sells, supplies, organises, cancels or fails to deliver;
b. the conduct of any user, club, administrator or third party;
c. any dispute between you and a club, or between you and another user;
d. the safety, suitability, supervision or management of any sport, training session, fixture, event or tour;
e. any injury arising from taking part in sport or any other activity organised through PLAI;
f. content posted by users;
g. anything done by Stripe, Amazon Web Services, or another third party we rely on;
h. advertising, or your dealings with advertisers;
i. loss caused by your failure to keep your password secure.
21.4 Clause 21.3 does not apply to the extent the loss was caused by our own negligence or breach of
these terms and never displaces clause 21.1.Losses we exclude
21.5 We are not liable for:
a. indirect or consequential loss;
b. loss of profit;
c. loss of revenue;
d. loss of anticipated savings;
e. loss of business or business opportunity;
f. loss of goodwill or reputation;
g. loss or corruption of data;
h. wasted expenditure;
in each case however arising and whether or not we were warned it might happen.Our cap
21.6 Where we are liable to you, our total liability for all claims arising in any 12-month period is limited
to the greater of:
a. the total fees we received and kept from you in the 12 months before the claim arose; or
b. £100.
21.7 Clause 21.6 does not apply to liability under clause 21.1.
21.8 These limits are reasonable because PLAI is provided without a subscription charge, because clubs
and not PLAI control the activities organised through it and because you can insure against losses of the
kind excluded. If you need a higher limit, contact us before you rely on PLAI for something important.Your responsibility to us
22.1 If you are a club, you are responsible for what your administrators and members do on PLAI in
connection with your club. You will compensate us for any claim, loss, fine, penalty or reasonable cost
we incur because of:
a. your breach of these terms or the Seller Terms;
b. anything you sold, organised or failed to deliver;
c. your failure to comply with data protection, consumer, tax or safeguarding law;
d. content you or your members posted;
e. chargebacks and refunds on your sales.
22.2 This does not apply to the extent the loss was caused by our own breach or negligence.
22.3 If you are an individual consumer, clause 22.1 does not apply to you. You are responsible to us
only for the loss we suffer as a result of your own deliberate or negligent breach of these terms and only
to the extent it was a foreseeable result of that breach.
22.4 We will tell you promptly about any claim we want you to cover, let you take part in defending it and
not settle it without asking you first.Changes to these terms
23.1 We may change these terms.
23.2 For changes that materially affect your rights or obligations, we will give you at least 30 days'
notice by email before they take effect.
23.3 For changes required by law, by a regulator, or to address a security or safeguarding risk, we may
make the change immediately and tell you as soon as we can.
23.4 Every app version has a version number and an effective date. Previous versions are available via
the respective app stores located here for iOS and here for Android.
23.5 If you keep using PLAI after a change takes effect, you accept it. If you do not accept it, stop using
PLAI and close your account. If you are a club and you close your account because of a change we
made, we will not charge you for the remainder of any upgrade period and will refund the unused
portion.Events outside our control
24.1 We are not liable for failing to perform, or for delay in performing, because of something beyond our
reasonable control, including:
a. natural disaster, fire, flood, explosion or extreme weather;
b. war, terrorism, civil unrest or sabotage;
c. epidemic, pandemic or public health emergency;
d. failure of a telecommunications network or internet infrastructure;
e. failure or interruption of a third-party service we depend on, including Stripe, Amazon Web Services
and Fluid Labs;
f. cyberattack, denial of service attack, ransomware or hacking, other than where it resulted from our
failure to take reasonable security measures;
g. change in law or regulatory action.
24.2 This clause does not cover an inability to pay money, or an event that the affected party caused or
could reasonably have prevented.
24.3 We will tell you as soon as reasonably practicable and will take reasonable steps to reduce the
effect.
24.4 If the event continues for more than 30 days, either of us may end this contract by written notice,
without liability.Notices
25.1 We will contact you by email, in the app, or both, using the details on your account. Keep them up
to date.
25.2 You can contact us at support@plaisport.com or by post at our registered office.
25.3 An email is treated as received on the day it is sent, or the next working day if sent outside working
hours.General
26.1 These terms, the Seller Terms, the Privacy Policy and the data processing terms are the whole
agreement between us. Nothing in this clause limits liability for fraud or fraudulent misrepresentation.
26.2 If a clause is found to be invalid, the rest continues to apply.
26.3 If we do not enforce a right straight away, we do not lose it.
26.4 We may transfer our rights and obligations to another company and will give you notice if we do.
Your rights under these terms will not be reduced. You may not transfer yours without our written
consent.
26.5 We may use subcontractors and suppliers. We remain responsible to you for what they do on our
behalf.
